Stanley Black & Decker, Inc. (SWK)'s shares did not perform well in the fourth quarter due to disappointing earnings results and an uncertain outlook. Management lowered its sales outlook primarily due to reduced expectations in emerging markets and Europe, where the company has above average exposure. We have chosen to exit our investment and reallocate the capital to higher conviction real estate-related companies.

Stanley Black & Decker Inc was founded in 1843 and incorporated in Connecticut in 1852. The Company is a provider of power and hand tools, products and services for various industrial applications, mechanical access solutions and electronic security and monitoring systems. The Company's operations are classified into three reportable business segments, which also represent its operating segments; Construction & Do-It-Yourself (CDIY), Industrial and Security. The CDIY segment is comprised of the Professional Power Tool business, the Consumer Products Group, which includes outdoor products, the Hand Tools & Storage business, and the Fastening & Accessories business. This segment sells its products to professional end users, distributors and retail consumers. The Industrial segment is comprised of the Industrial and Automotive Repair (IAR), Engineered Fastening and Infrastructure businesses. This business sells professional hand tools, power tools and engineered storage solution products. The Security segment is comprised of the Convergent Security Solutions (CSS) and Mechanical Access Solutions (MAS) businesses. The Company encounters active competition in the CDIY and Industrial segments from both larger and smaller companies that offer the same or similar products and services. Competition in the Security segment is generally fragmented via both large international players and regional companies. The Company's products are manufactured using both ferrous and non-ferrous metals including, but not limited to steel, zinc, copper, brass, aluminum and nickel. Its CDIY products are sold to home centers and mass merchants in the U.S. and Europe. The Company's products are manufactured using both ferrous and non-ferrous metals including, but not limited to steel, zinc, copper, brass, aluminum and nickel. The Company owns numerous patents, none of which individually is material to its operations as a whole. It has numerous trademarks that are used in its businesses. In the CDIY segment, significant trademarks include STANLEY, BLACK+DECKER, DEWALT, Porter-Cable, Bostitch, FatMax, Powers, Oldham, Guaranteed Tough and the yellow/black color scheme for power tools and accessories. The Company is subject to various environmental laws and regulations in the U.S. and foreign countries where it has operations.
