Business Description

TravelCenters of America LLC were formed as a Delaware limited liability Company on October 10, 2006. It was formed as a 100% owned subsidiary of Hospitality Trust to succeed to the operating business of its predecessor, which Hospitality Trust acquired on January 31, 2007. Until January 31, 2007, it was a shell company subsidiary of Hospitality Trust. When Hospitality Trust acquired the Company's predecessor on January 31, 2007, it restructured its business and distributed its shares to Hospitality Trust shareholders. TravelCenters of America operates and franchises travel centers under the TravelCenters of America, TA and Petro brands primarily along the U.S. interstate highway system. The Company's customers include long haul trucking fleets and their drivers, independent truck drivers and motorists. The Company offers a range of products and services, including diesel fuel and gasoline, truck repair and maintenance services, full service restaurants, more than 20 different brands of quick service restaurants, or QSRs, travel and convenience stores and other driver amenities. As of December 31, 2009, the company's travel center business consisted of 233 travel centers, 185 of which are leased from HPT, nine of which it owns, two of which are owned by parties other than HPT and leased to or managed by the company, 35 of which are owned or leased by its franchisees and two travel centers that the company operates for a joint venture in which the company owns a minority interest. The Company operated 188 of these travel centers and its franchisees operated 45 of these travel centers (four of these franchisee locations terminated in early 2010). The Company owns eight parcels of land. A number of states include, within the scope of their petroleum franchising statutes, prohibitions against price discrimination and other allegedly anticompetitive conduct. The Company's operations and properties are extensively regulated by environmental laws under which it may be required to investigate and clean up hazardous substances, including petroleum products, released at a property, and may be held liable to governmental entities or to third parties for property damage and personal injuries and for investigation and clean up costs incurred in connection with any contamination. Fuel and non-fuel products and services can be obtained by long haul truck drivers from a variety of sources, including regional full service travel center and pumper only truck stop chains, independently owned and operated truck stops and some large service stations. In addition, some trucking companies operate their own terminals to provide fuel and services to their own trucking fleets.
