Carrols Restaurant Group Inc is a Delaware Corporation, incorporated in 1986. It conducts all of its operations through its direct and indirect subsidiaries and has no assets other than the shares of Carrols, its direct wholly-owned subsidiary. Prior to November 21, 2006 it was known as Carrols Holdings Corporation. On November 21, 2006, it amended its certificate of incorporation to change its name to Carrols Restaurant Group, Inc. The Company owned and operated 564 Burger King restaurants located in 13 Northeastern, Midwestern and Southeastern states. It has a total of 13,667 Burger King restaurants, of which 13,615 were franchised and 7,436 were located in the United States and Canada. Burger King restaurants feature the popular flame-broiled Whopper sandwich, as well as a variety of hamburgers, chicken and other specialty sandwiches, french fries, salads, breakfast items, snacks, smoothies, frappes and other offerings. The Company' competitors are McDonald's and Wendy's. It is subject to the federal Fair Labor Standards Act and various other federal and state laws governing such matters as: minimum wage requirements; unemployment compensation; overtime; and other working conditions and citizenship requirements.
