TCP Capital Corp is incorporated in the state of Delaware on April 2, 2012 and is an externally managed, closed-end, non-diversified management investment company. The Company is an externally-managed specialty finance company focused on middle-market lending. The Company has elected to be regulated as a business development company. Its investment objective is to achieve high total returns through current income and capital appreciation, with an emphasis on principal protection. The Company invests primarily in debt of private, middle-market companies with enterprise values typically between $100 million and $1.5 billion, including complex situations requiring specialized industry knowledge. While it invests primarily in senior debt instruments, it has the flexibility to provide financing solutions at any level of the capital structure. Its target investments are generally in companies with established market positions, proven and differentiated products and strong regional or national operations. At December 31, 2011, its existing investment portfolio consisted of debt and equity positions in 41 portfolio companies. The company's investment activities benefit from the competitive advantages of its investment advisor, Tennenbaum Capital Partners, LLC.
