Business Description

Telefonica, S.A. was incorporated on April 19, 1924, under the laws of the Kingdom of Spain. The Company is a telecommunications group which provides a range of services through its telecommunications networks, mainly focused on providing fixed and mobile telephony services and present mainly in Spain, Europe and Latin America. The Company has implemented a regional, integrated management model based on three business areas, with each area in charge of the fixed and mobile telephone business within its borders: Telefonica Spain, which oversees the fixed and mobile telephone, broadband, Internet, pay TV and valued added services and data businesses in Spain. Telefonica Europe, which oversees the fixed and mobile telephone, broadband, Internet, pay TV and value added services and data businesses in the United Kingdom, Germany, Ireland, the Czech Republic, Slovakia and the Isle of Man. Telefonica Latin America: oversees the fixed and mobile telephone, broadband, Internet, pay TV and value added services and data businesses in Latin America. The Company is also involved in the media and contact center segments through Telefonica de Contenidos and Atento, respectively. The main services the Company offers in its fixed businesses in Spain, Europe and Latin America are: Traditional fixed telecommunication services, Internet and broadband multimedia services, Data and business-solutions services and Wholesale services for telecommunication operators. The Company offers a variety of mobile and related services and products to personal and business customers. Although the services and products available vary from country to country, the main services and products are: Mobile voice services, Value added services, Mobile data and Internet services, Wholesale services, Corporate services, Roaming, Fixed wireless, Trunking and paging. The Company faces competition in all of the markets in which it operates, and it is therefore subject to the effects of actions by its competitors in these markets. As a multinational telecommunications company that operates in regulated markets, the Company is subject to different laws and regulations in each of the jurisdictions in which it provides services. As a telecommunications operator, it is subject to sector-specific telecommunications regulations, general competition law and a variety of other regulations.
