Textainer Group Holdings, Ltd., was incorporated under the laws of Bermuda as a holding company of a group of Corporations involved in the purchase, ownership, management, leasing and disposal of a fleet of intermodal containers. The Company is a lessor of intermodal containers based on fleet size, with a total fleet of more than 2.0 million containers, representing more than 3.0 million TEU. Its business comprises of three segments: Container Ownership, Container Management and Container Resale. The Company's containers consist primarily of standard dry freight containers, but also include special-purpose containers. It manages, on a worldwide basis, a fleet of containers for and on behalf of the Owners. The Company buys and subsequently resells used containers (trading containers) from third parties. It leases containers to approximately 400 shipping lines and other lessees, including each of the world's top 20 container lines, as measured by the total TEU capacity of their container vessels. Its customers are mainly international shipping lines, but it also leases containers to freight forwarding companies and the U.S. military. Its five largest customers accounted for approximately 38.0% of its total owned and managed fleet's 2013 lease billings. Its top five customers by lease billings in 2013 were CMA-CGM S.A., Mediteranean Shipping Company S.A., Evergreen Marine Corp. Ltd., Mitsui O.S.K. Lines and Cosco Container Lines. The Company competes with approximately ten other large or medium size container leasing companies, many smaller lessors, companies and financial institutions offering finance leases, and promoters of container ownership and leasing as a tax-efficient investment. It has registered "TEXTAINER," "TEX" and "tex" (logo) in the U.S. Patent and Trademark Office and in the patent and trademark agencies of thirteen countries as trademarks. The Company is subject to federal, state, local and foreign laws and regulations relating to the protection of the environment, including those governing the discharge of pollutants to air and water, the management and disposal of hazardous substances and wastes and the cleanup of contaminated sites.
