Business Description

Teekay LNG Partners L.P. was formed in 2004 and was incorporated under the laws of the Republic of The Marshall Islands. It is an international provider of marine transportation services for liquefied natural gas (LNG), liquefied petroleum gas (LPG) and crude oil. The Company has two reportable segments: liquefied gas segment and Suezmax tanker segment. The LNG carriers in its liquefied gas segment compete in the LNG market. LNG carriers are usually chartered to carry LNG pursuant to time-charter contracts, where a vessel is hired for a fixed period of time, usually between 20 and 25 years, and the charter rate is payable to the owner on a monthly basis. LNG carriers transport LNG internationally between liquefaction facilities and import terminals. LPG shipping involves the transportation of three main categories of cargo: liquid petroleum gases including propane, butane and ethane; petrochemical gases including ethylene, propylene and butadiene; and ammonia. Seaborne crude oil transportation is a mature industry. The two main types of oil tanker operators are major oil companies (including state-owned companies) that generally operate captive fleets, and independent operators that charter out their vessels for voyage or time-charter use. The majority of crude oil tankers range in size from approximately 80,000 to approximately 320,000 dwt. Suezmax tankers, which typically range from 120,000 to 200,000 dwt, are the mid-size of the various primary oil tanker types. Many of these competitors have greater financial resources than the Company does. In the LNG market, the Company competes mainly with other private and state-controlled energy and utilities companies that generally operate captive fleets, and independent ship owners and operators. Its operations are affected by international, national and local environmental protection laws, regulations, treaties and conventions in force in international waters, the jurisdictional waters of the countries in which its vessels operate, as well as the countries of its vessels' registration, including those governing oil spills, discharges to air and water, and the handling and disposal of hazardous substances and wastes.
