Business Description

Torchmark Corporation is an insurance holding company incorporated in Delaware in 1979. Its main subsidiaries are American Income Life Insurance Company, Liberty National Life Insurance Company, Globe Life And Accident Insurance Company, United American Insurance Company and United Investors Life Insurance Company. Torchmark is the holding company for a group of insurance companies which market mainly individual life and supplemental health insurance and to limited extent annuities, to middle income households throughout the United States. The Company views its operations by segments, which are the major insurance product lines of life, health and annuities and the investment segment that supports the product lines. Insurance Product Line segments involve the marketing, underwriting and benefit administration of policies. Torchmark's insurance subsidiaries write a variety of nonparticipating ordinary life insurance products. These include traditional and interest sensitive whole-life insurance, term life insurance, and other life insurance. The distribution methods for life insurance products include sales by direct response, exclusive agents and independent agents. Torchmark offers supplemental limited-benefit health insurance products that include primarily cancer and accident plans. These policies are designed to supplement health coverage that applicants already own. Medicare Supplements are also offered to enrollees in the traditional fee-for-service Medicare program. Medicare Supplement plans are standardized by federal regulation and are designed to pay deductibles and co-payments not paid by Medicare. The Company also offers Medicare Part D prescription drug insurance. Annuity products offered include single-premium and flexible-premium deferred annuities. Premium rates for life and health insurance products are established using assumptions as to future mortality, morbidity, persistency, and expenses, all of which are generally based on Company experience and on projected investment earnings. Investment segment involves the management of the Company's capital resources, including investments and the management of corporate debt and liquidity. Torchmark competes with other insurance carriers through policyholder service, price, product design, and sales efforts. Torchmark's health insurance products compete with, in addition to the products of other health insurance carriers, health maintenance organizations, preferred provider organizations, and other health care-related institutions which provide medical benefits based on contractual agreements. The Company and its insurance subsidiaries are subject to extensive supervision and regulation in the states in which it do business.
