TMS International Corp was formed by Onex on October 31, 2006. The Company is a provider of outsourced industrial services to steel mills in North America. It offers the most comprehensive suite of outsourced industrial services to the steel industry. The Company's services are critical to its customers' 24-hour-a-day operations, enabling them to generate substantial operational efficiencies and cost savings while focusing on their core business of steel making. It operates at 74 customer sites in nine countries across North America, Europe and Latin America, and its global raw materials procurement network spans five continents. Over the past 80 years it has established long-standing customer relationships and has served its top 10 customers, on average, for over 28 years. The Company's diversified customer base includes 12 of the top 15 largest global steel producers, including United States Steel, ArcelorMittal, Gerdau, Nucor, Baosteel, POSCO and Tata Steel. The Company's range of specialized, value-added services is the broadest of any of its competitors and includes: scrap management and preparation; semi-finished and finished material handling; metal recovery and slag handling, processing and sales; surface conditioning; raw materials procurement and logistics; and proprietary software-based raw materials cost optimization. It provides a broad range of services through two segments, its Mill Services Group and its Raw Material and Optimization Group. The Company's Mill Services Group provides a variety of services predominantly performed at its customer sites under long-term contracts. These contracts are typically structured on a fee-per-ton basis tied to production volumes at its customer sites and are not based on the underlying price of steel. The Company's Raw Material and Optimization Group provides services designed to assist its customers in their procurement or sale of scrap and other raw materials and to help determine the lowest cost mixture of scrap and other steel making raw materials. In North America, primary direct competitors include: Harsco Corporation, through its Harsco Metals division; Edward C. Levy Co.; Nucor Corporation, through its acquisition of the David J. Joseph Company; Stein Steel Mill Services, Inc.; Philip Services Corporation; Sims Metal Management and Phoenix Services, LLC etc. It owns a number of registered and unregistered trademarks and service marks in the United States and abroad that it uses in connection with its businesses, including: Tube City IMS, Scrap Optimiser, Genblend, The Evolution of Value and certain related designs and logos.
