Texas Pacific Land Trust is engaged in sale and leasing of land owned by it, retaining oil and gas royalties and the overall management of the land owned by it.

Texas Pacific Land Trust was organized in Texas on February 1, 1888. The Trustees are empowered under the Declaration of Trust to manage the lands with all the powers of an absolute owner, and to use the lands and the proceeds of sale of the lands, either to pay dividends to the Certificate holders or to buy in and cancel outstanding Certificates. The Trust's income is derived mainly from land sales, oil and gas royalties, easement and sundry income, grazing leases, and interest. This method of operation has continued through the present. During the last five years there has not been any reorganization, disposition of any material amount of assets not in the ordinary course of business or any material change in the mode of conducting business There were no material liens or encumbrances on the Trust's title to the surface estate in those tracts. The Trust also owns a 1/128 nonparticipating perpetual oil and gas royalty interest under 85,414 acres of land and a 1/16 nonparticipating perpetual oil and gas royalty interest under 373,777 acres of land in the western part of Texas. The Company is subject to governmental laws and regulations.

Cayman Islands Court Approval Requirement The closing of the Olisol transaction is conditional on a few items, including the reduction in the par value of the Company's ordinary shares. Following approval by special resolution of the Shareholders, pursuant to Section 14(1) of the Companies Law (2013 Revision), the reduction in the par value of the shares of the Company, and thereby the authorised share capital, requires confirmation by the Grand Court of the Cayman Islands. The Company will petition the court for approval of the special resolution and if approved, the order of the court and the minutes will be delivered to the Registrar of Companies for registration, the resolution for reducing the par value and authorised share capital will take effect on registration. It is noted that the confirmation of the Grand Court of the Cayman Islands may be subject to certain consents being obtained and the satisfaction of certain publication requirements.
