Westport Asset Management Comments on Time Warner Inc. - Aug 08, 2013

The largest new commitment during the quarter was Time Warner, Inc. (TWX) whose businesses are the production of movies and video content for cable TV networks, TV series, and premium pay channel HBO. In addition, Time Warner, Inc. is spinning off its publishing unit later this year so the growth of the entertainment businesses will no longer be diluted. There is substantial interest from consumers and investors in streaming video sites accessed via the internet for a monthly subscription fee. Indeed, this is one of the key drivers in the performance of Netflix, Inc. shares this year. It is also attracting new entrants. With a new form of distribution and new distributors, quality programming should be increasingly valuable. Time Warner, Inc. is arguably one of the best producers of the needed content in a variety of formats.

Time Warner Inc was organized under the laws of Delaware, and was formed on February 4, 2000 in connection with the Company's January 2001 merger with America Online, Inc. It is a media and entertainment company. It operates its business in four segments which includes Turner, Home Box Office, Warner Bros and Time Inc. Turner, consist of cable networks and digital media properties. Turner's businesses consist of the domestic and international cable networks owned by Turner Broadcasting System, Inc., a wholly-owned subsidiary of the Company, and digital media properties that are managed and/or operated by Turner. Turner also owns free-to-air networks in international regions. Turner's businesses compete with basic cable and broadcast networks in the U.S. and pay television and free-to-air networks in international regions for distribution and marketing by affiliates. Home Box Office consist of premium pay television services domestically and premium pay and basic tier television services internationally. Home Box Office's premium pay television services compete with widely-distributed basic cable networks, broadcast networks and other premium pay television services for distribution and marketing by affiliates. Warner Bros. businesses produce and distribute feature films, television programming, videogames and other programming; distribute home video product; and license rights to the Company's feature films, television programming and characters. All of these businesses are principally conducted by various subsidiaries and affiliates of Warner Bros. Entertainment Inc., a wholly-owned subsidiary of the Company. These businesses compete for consumers' entertainment and leisure time and spending with each other, as well as with other forms of entertainment, including Internet streaming and downloading, websites providing social networking and user-generated content, videogames and other online activities, sports, print media, pirated content, live events and radio broadcasts. Time Inc consist of magazine publishing and related websites and operations. Time Inc. also operates websites, of which share brands with its magazines, as well as an integrated publishing business that provides content marketing, targeted local print and digital advertising programs, branded book publishing and marketing and support services to Time Inc. and/or third-party clients, including other magazine publishers. Time Inc. competes with other magazine publishers and other forms of media, including websites, digital magazines and mobile apps, for market share and the time and attention of consumers.
