United Bancorp MI was incorporated on May 31, 1985, as a business corporation. The Company is a financial holding company registered with the Board of Governors of the Federal Reserve System. Its subsidiary banks offer a range of services to individuals, corporations, fiduciaries and other institutions. Banking services include checking, NOW accounts, savings, time deposit accounts, money market deposit accounts, safe deposit facilities and money transfers. Lending operations provide real estate loans, secured and unsecured business and personal loans, consumer installment loans, credit card and check-credit loans, home equity loans, accounts receivable and inventory financing, equipment lease financing and construction financing. They face competition from credit unions, savings associations, finance companies, loan production offices and other financial services companies. At December 31, 2011, the Company had total assets of approximately $885.0 million, total deposits of approximately $764.9 million, and total shareholders' equity of approximately $93.8 million. The Company has four primary lines of business under one operating segment of commercial banking: banking services, residential mortgage, wealth management and structured finance. During the year ended December 31, 2011, its net interest income accounted for approximately 63.6% of its operating revenues and its noninterest income accounted for approximately 36.4% of its operating revenues. The Company and the Bank are extensively regulated and are subject to a comprehensive regulatory framework that imposes restrictions on their activities, minimum capital requirements, lending and deposit restrictions, and numerous other requirements.
