Visionchina Media Inc, was incorporated under the laws of the Cayman Islands on January 27, 2006. The Company, together with its subsidiaries, operates the out-of-home advertising network using real-time mobile digital television broadcasts to deliver content and advertising on mass transportation systems in China based on the number of displays. Due to PRC regulatory restrictions on foreign investments in the advertising and mobile digital television industries, the Company operates its advertising business in China through its consolidated affiliated entities. Its advertising network consists of digital television displays located on buses and in subway trains and subway platforms that receive mobile digital television broadcasts of real-time content and advertising. Its network delivers real-time programming, including news briefs, stock market updates, weather and traffic information, sports highlights and entertainment shows mixed with TV advertisements. Its extensive network had over 137 thousand digital television displays on mass transportation systems. The Company currently operates mobile digital television displays on bus networks in Beijing, Guangzhou, Shenzhen, Suzhou, Wuxi, Chengdu, Ningbo, Nanjing, Wuhan, Dalian, Shenyang, Zhengzhou, Changchun, Changzhou, Changsha, Taiyuan and Xiamen, and also operates on the subways of Beijing, Shanghai, Guangzhou, Shenzhen, Nanjing, Tianjin, Chongqing and Hong Kong. Its combined bus and subway networks reach over 221 million residents across China. The hardware required for the operation of its business consists of digital television displays, mobile digital television receivers, speakers and other related equipment that it uses in its mobile digital television advertising network. It purchases its digital television displays and receivers from third party manufacturers who build these components according to its specifications. The Company sells its advertising time through third party advertising agencies such as the 4A agencies. It provides in-house education and training to its sales force to ensure that they provides its current and prospective clients with comprehensive information about its services, the advantages of using its mobile digital television advertising network as a marketing channel and relevant information regarding the advertising industry as a whole. It also purchases or commission studies containing relevant market study data from reputable third-party market research firms, such as CTR Market Research. Its digital television advertising network uses digital television technology. This technology provides a communication method for broadcasting and receiving moving pictures and sound by using digital signals, which provides throughput compared to the analog signals used by analog televisions.
