Valley National Bancorp is a New Jersey corporation organized in 1983. It is a bank holding company of which main wholly-owned subsidiary is Valley National Bank, 'the Bank'. It is a national banking association providing a full range of commercial, retail and trust and investment services through its branch and ATM network throughout northern and central New Jersey and New York City. The Bank also lends to borrowers outside its branch network. The Bank has four business segments it monitors and reports on to manage its business operations. These segments are consumer lending, commercial lending, investment management, and corporate and other adjustments. The consumer lending segment is mainly comprised of residential mortgages, home equity loans and automobile loans. The duration of the loan portfolio is subject to movements in the market level of interest rates and forecasted residential mortgage prepayment speeds. The commercial lending segment is mainly comprised of floating rate and adjustable rate commercial loans, as well as fixed rate owner occupied and commercial mortgage loans. The investment management segment is mainly comprised of fixed rate investments, trading securities and, depending on its liquid cash position, federal funds sold. The fixed rate investments are one of Valley's least sensitive assets to changes in market interest rates. The corporate and other adjustments segment represents income and expense items. The market for banking and bank-related services is highly competitive and it faces substantial competition in all phases of its operations. The Company competes with other providers of financial services such as other bank holding companies, commercial banks, savings institutions, credit unions, mutual funds, mortgage companies, title agencies, asset managers, insurance companies and a list of other local, regional and national institutions which offer financial services. The Company is supervised by the Board of Governors of the Federal Reserve System.
