The current price of MLM is $104.7, with a change from average of 3%. Since December 2011 Martin Marietta Materials has attempted to buy out Vulcan Materials Company (VMC), first making a hostile takeover bid of $4.8 billion for VMC at $36.69 per share, followed by an unsolicited offer of $5.5 billion in May 2012 at $42 per share. According to the Birmingham Business Journal, Vulcan Materials got an injunction blocking Martin Marietta Materials from pursuing a hostile takeover. The Vulcan position was that the MLM offer undervalued the company and was too optimistic about the possible merger benefits. Time will tell if MLM will offer a higher price in a friendly takeover. Business Description

Vulcan Materials Company is a New Jersey corporation that was incorporated on February 14, 2007. It provides the basic materials for the infrastructure needed to drive the U.S. economy. The Company is a producer of construction aggregates mainly crushed stone, sand and gravel a major producer of asphalt mix and concrete and producer of cement in Florida. It has four reporting segments organized around it major product lines: Aggregates, Asphalt mix, Concrete, and Cement. The Aggregates segment produces and sells aggregates (crushed stone, sand and gravel, sand, and other aggregates) and related products and services (transportation and other). During 2011, the Aggregates segment principally served markets in nineteen states, the District of Columbia, the Bahamas and Mexico with a full line of aggregates, and eight additional states with railroad ballast. The Concrete segment produces and sells ready-mixed concrete in six states and the District of Columbia. Additionally, it produces and sells, in a limited number of these markets, other concrete products such as block and precast and resell purchased building materials related to the use of ready-mixed concrete and concrete block. The Asphalt Mix segment produces and sells asphalt mix in three states primarily in the Company's southwestern and western markets. The Cement segment produces and sells Portland and masonry cement in both bulk and bags from its Florida cement plant. Other Cement segment facilities in Florida import and export cement, clinker and slag and either resell, grind, blend, bag or reprocess those materials. This segment also includes a Florida facility that mines, produces and sells calcium products. The products of all of its reporting segments are marketed under highly competitive conditions, including competition in price, service and product performance. The Company's operations are subject to federal, state and local laws and regulations relating to the environment and to health and safety.
