Vantage Drilling Co was incorporated under the laws of the Cayman Islands on November 14, 2007. The Company, through its subsidiaries, is an international offshore drilling company operating a fleet of modern, high specification drilling units. Its main business is to contract drilling units, related equipment and work crews, mainly on a dayrate basis to drill oil and natural gas wells for its customers. It also provides construction supervision services for, and operate and manage, drilling units owned by others. Through its fleet of drilling units, the Company is a provider of offshore contract drilling services to national and independent oil and natural gas companies, primarily on international markets. Its operating fleet currently consists of four ultra-premium jackup rigs and three ultra-deepwater drillships. Its fleet is currently located in India, Southeast Asia and West Africa. The Company's operations are subject to many hazards inherent in the offshore drilling business, including, but not limited to: blowouts, craterings, fires, explosions, equipment failures, loss of well control, loss of hole, damaged or lost equipment and damage or loss from inclement weather or natural disasters. Its operations are conducted mainly in foreign jurisdictions and are subject to, and affected in varying degrees by, governmental laws and regulations in countries in which it operates, including laws and regulations relating to the importation of and operation of drilling units, currency conversions and repatriation, oil and natural gas exploration and development, environmental protection, taxation of offshore earnings and earnings of expatriate personnel, the use of local employees and suppliers by foreign contractors and duties on the importation and exportation of drilling units and other equipment.
