Wolverine Bancorp, Inc. is incorporated in the State of Maryland. Wolverine Bancorp, Inc. is the holding company for Wolverine Bank. The Bank provides financial services to individuals, families and businesses in the Great Lakes Bay Region of Michigan and beyond through three banking offices located in Midland, Michigan, the Midland County Seat, and a banking office and loan center located, respectively, in Frankenmuth and Saginaw, Michigan, located in neighboring Saginaw County. The Company's business consists primarily of taking deposits from the general public and investing those deposits, together with funds generated from operations and borrowings, in commercial real estate loans including multi-family loans and land loans, one- to four-family residential mortgage loans and home equity loans and lines of credit and to a lesser extent, construction loans, commercial non-mortgage loans and consumer loans (consisting primarily of mobile home loans, automobile loans, loans secured by savings deposits and other consumer loans). It offers a variety of deposit accounts, including statement savings accounts, certificates of deposit, money market accounts, commercial and regular checking accounts and retirement accounts, including health savings accounts. It offers extended hours at its branch offices, and it is dedicated to offering alternative banking delivery systems utilizing state-of-the-art technology, including ATMs, online banking, remote deposit capture and telephone banking delivery systems. The Company's principal lending activity is the origination of commercial mortgage loans including multifamily and land loans, residential mortgage loans and home equity loans, and to a lesser extent, construction loans, commercial non-mortgage loans and other consumer loans. It originates commercial real estate mortgage loans, loans on multifamily dwellings and loans on undeveloped land. It offers residential mortgage loans that conform to Fannie Mae and Freddie Mac underwriting standards (conforming loans) as well as non-conforming loans. It generally underwrites its one- to four-family residential mortgage loans based on the applicant's employment and credit history and the appraised value of the subject property. The Company also offers loans through various agency programs which are originated for sale. It also originates construction loans for one- to four-family residential properties and commercial properties, including multifamily properties. In addition to traditional one- to four-family residential mortgage loans, it offers home equity loans and home equity lines of credit that are secured by the borrower's primary or secondary residence. The Company also originates commercial non-mortgage (term) loans and variable lines of credit. These loans are generally originated to small- and medium-sized companies in its primary market area.
