Business Description

Wellcare Health Plans, Inc. was formed in May 2002 when it acquired its Florida, New York and Connecticut health plans. From inception to July 2004, it operated through a holding company that was a Delaware limited liability company. In July 2004, immediately prior to the closing of its initial public offering, that company was merged into a Delaware corporation and the name of the Company was changed to WellCare Health Plans, Inc. The Company provides managed care services exclusively to government-sponsored health care programs, serving approximately 2.6 million members as of December 31, 2011. Through its licensed subsidiaries, as of December 31, 2011, it operated its Medicaid health plans in eight states, which are Florida, Georgia, Hawaii, Illinois, Kentucky, Missouri, New York and Ohio, and its Medicare Advantage coordinated care plans in 119 counties across 12 states. The Company has three reportable operating segments: Medicaid, Medicare Advantage and Prescription Drug Plans, which are within its two main business lines: Medicaid and Medicare. Medicaid was established to provide medical assistance to low-income and disabled persons. It is state operated and implemented, although it is funded and regulated by both the state and federal governments. Medicare is a federal health insurance program that provides eligible persons age 65 and over, and some disabled persons, a variety of hospital, medical and prescription drug benefits. The Company's MA segment consists of MA plans which, following the exit of its PFFS product on December 31, 2009, is comprised of CCPs. MA is Medicare's managed care alternative to original Medicare, which provides individuals standard Medicare benefits directly through CMS. Prescription Drug Plans offers stand-alone Medicare Part D coverage to Medicare-eligible beneficiaries through its PDP segment. The Medicare Part D prescription drug benefit is supported by risk sharing with the federal government through risk corridors designed to limit the losses and gains of the drug plans and by reinsurance for catastrophic drug costs. It operates in a highly competitive environment to manage the cost and quality of services that are delivered to government health care program beneficiaries. The Company's health care operations are highly regulated by both state and federal government agencies.
