Business Description

WGL Holdings, Inc. is a holding company that was established on November 1, 2000 as a Virginia corporation to own subsidiaries that sell and deliver natural gas and/or provide a variety of energy-related products and services to customers mainly in the District of Columbia and the surrounding metropolitan areas in Maryland and Virginia. The Company promotes the efficient use of clean natural gas and renewable energy to improve its environment for the benefit of its customers, investors, employees, and the communities it serve. It owns all of the shares of common stock of Washington Gas, Washington Gas Resources, Hampshire Gas Company (Hampshire) and Crab Run Gas Company (Crab Run). Washington Gas Resources owns four unregulated subsidiaries that include WGEServices, WGESystems, CEV, and WGSW. The Company through its wholly owned subsidiaries sells and delivers natural gas and provides a variety of energy-related products and services to customers mainly in the District of Columbia and the surrounding metropolitan areas in Maryland and Virginia. It has three operating segments: regulated utility; retail energy-marketing; and design-build energy systems. The regulated utility segment consists of Washington Gas and Hampshire. Washington Gas is regulated by the PSC of DC, the PSC of MD and the SCC of VA. Hampshire is regulated by the FERC.The retail energy-marketing segment consists of the operations of WGEServices which competes with regulated utilities and other unregulated third party marketers by selling the natural gas and electric commodity directly to residential, commercial and industrial customers with the objective of earning a profit through competitively priced contracts. The design-build energy systems segment, which consists of the operations of WGESystems, provides design-build energy-efficient and sustainable solutions to governmental and commercial clients. WGEServices competes with the commodity prices offered by regulated gas utilities and other third party marketers to sell natural gas to customers both inside and outside of the Washington Gas service area. Its competitors include manufacturers of equipment and control systems and consulting firms. The Company is subject to federal, state and local laws and regulations related to environmental matters.
