Business Description

Warren Resources, Inc. was incorporated on June 12, 1990 as a Delaware corporation. The company is an independent energy company engaged in the exploration, development and production of domestic onshore crude oil and gas reserves. The company focuses on the exploration and development of its waterflood oil recovery properties in the Wilmington field within the Los Angeles Basin of California, and its coalbed methane, or CBM, natural gas properties located in the Rocky Mountain region. As of December 31, 2011, the company owned natural gas and oil leasehold interests in approximately 129,588 gross (69,641 net) acres, approximately 80% of which are undeveloped. Substantially all its undeveloped acreage is located in the Rocky Mountains. The company has identified approximately 200 gross drilling locations in its Wilmington field units. Additionally, it has identified approximately 300 gross drilling locations on its acreage in the Rocky Mountains, primarily on 80-acre well spacing. As of December 31, 2011, the company had estimated net proved reserves of 22.3 MMBoe, with a PV-10 value of $526 million, based on a reserve report prepared by Netherland, Sewell & Associates, Inc. As of December 31, 2011, it had interests in 414 gross (206 net) producing wells and are the operator of record or actively participate in the management and operations for 74% of these wells. Through company's joint venture agreements, the company actively participate in operating activities for most of the wells for which the company is not operator of record. For the month of December 2011, its average daily production was 13.7 thousand barrels of oil equivalent per day ("MBoe/d") gross (5.0 MBoe/d net). For 2012, the company has a total capital expenditure budget of approximately $79 million. Its Wilmington Townlot Unit ("WTU") is located in the Wilmington field within the Los Angeles Basin of California. The Wilmington field has produced over 2.5 billion barrels of oil since its discovery in the 1930s. During December 2011, the company averaged 2,830 barrels of oil per day ("Bbls/d") gross, (2,292 Bbls/d net) production in the Wilmington Townlot Unit. The company has produced 385 Bbls/d gross, (326 Bbls/d net) from its North Wilmington Unit. Its operations are subject to a wide variety of stringent federal, state and local laws and regulations governing the exploration and production of oil and natural gas, including discharge of materials into the environment or otherwise relating to environmental protection.
