Business Description

WesBanco, Inc. is a bank holding company that offers a range of financial services including retail banking, corporate banking, personal and corporate trust services, brokerage services, mortgage banking and insurance. It offers these services through two segments, community banking and trust and investment services. Its community banking segment offers services traditionally offered by full-service commercial banks, including commercial demand, individual demand and time deposit accounts, as well as commercial, mortgage and individual installment loans. The trust and investment services segment offers trust services as well as various alternative investment products including mutual funds. The Company operates one commercial bank, WesBanco Bank, Inc. through 112 offices, one loan production office and 122 ATM machines located in West Virginia, Ohio, and Western Pennsylvania. The Company offers additional services through its non-banking subsidiaries, WesBanco Insurance Services, Inc., a multi-line insurance agency specializing in property, casualty and life insurance, and benefit plan sales and administration for personal and commercial clients; and WesBanco Securities, Inc., a full service broker-dealer, which also offers discount brokerage services. It also serves as investment adviser to a family of mutual funds under the name 'WesMark Funds' which includes a growth fund, a balanced fund, a government bond fund, a West Virginia municipal bond fund and a small company growth fund. The Company and WesBanco Bank entered into a Branch Purchase and Assumption Agreement with AmTrust Bank according to which WesBanco Bank agreed to purchase all of AmTrust's Columbus, Ohio, branches. The Company is subject to extensive federal and state regulation, supervision and examination. Banking regulations are primarily intended to protect depositors' funds, federal deposit insurance funds and the banking system as a whole, not shareholders.
