Business Description

Xinyuan Real Estate Co. Ltd. was incorporated in the Cayman Islands on March 26, 2007. It conducts substantially all of its business through its operating subsidiaries in China. It is a residential real estate developer that focuses on Tier II cities in China. The Company's standardized and scalable model emphasizes rapid asset turnover, efficient capital management and strict cost control. It focuses on developing large scale quality residential projects, which typically consist of multiple residential buildings that include multi-layer apartment buildings, sub-high-rise apartment buildings or high-rise apartment buildings. Several of its projects include auxiliary services and amenities such as retail outlets, leisure and health facilities, kindergartens and schools. It also develops small scale residential properties. The Company's developments aim at providing middle-income consumers with a comfortable and convenient community life. In addition, it provides property management services for its developments and other real estate-related services to its customers. It acquires development sites mainly through public auctions of government land. This acquisition method allows it to obtain unencumbered land use rights to unoccupied land without the need for additional demolition, re-settlement or protracted legal processes to obtain title. As a result, it is able to commence construction relatively quickly after it acquires a site for development. The Company currently operates in seven markets- Chengdu in Sichuan Province, Hefei in Anhui Province, Jinan in Shandong Province, Suzhou, Kunshan and Xuzhou in Jiangsu Province, and Zhengzhou in Henan Province. In the Tier II cities in which it operates, its main competitors include China Overseas Property Ltd., China Vanke Co., Ltd., Sunshine 100, China Resources Land Limited, Henan Zhengshang Real Estate Co., Ltd., Henan New Greatwall Real Estate Co., Ltd. and Longhu Real Estate Co., Ltd. The Company's core business is conducted within China and is governed by PRC laws and regulations.
