zulily Inc was incorporated in 2009 in Delaware. The Company, through its desktop and mobile websites and mobile applications, sells children's and women's clothing throughout the U.S. and UK. It sells children's apparel, women's apparel and other categories such as toys, infant gear, kitchen accessories and home decor. In January 2010 the Company launched its zulily website. The Company, through its flash sales events, offers a selection of products on a daily basis. These products are sourced from thousands of vendors, including emerging brands and smaller boutique vendors, as well as larger national brands. The Company's operations are segmented into two geographies; North America and U.K. The North America segment consists of products and services sales through the Company's North America-focused sites, including sales from the sites to customers in the United States, Canada and to other international locations through a third-party service provider. The U.K. segment consists of products and services sales through the Company's U.K.-focused sites, including sales from the sites to customers in the United Kingdom and throughout Europe. As of fiscal year ended December 29, 2013 the Company's assets are primarily located in the United States. Since the Company's vendors are smaller boutique vendors they work with the Company to gain their brand awareness and generate sales. The Company's supply chain solution efficiently handles inventory turnover. The Company has built technology solutions including as e-commerce, mobile applications, and customer messaging to improve the shopping experience of its clients. The Company competes with online and offline retailers, e-commerce platforms of traditional retailers and online marketplaces such as Amazon.com, Inc., eBay Inc., Target Corporation, Wal-Mart Stores, Inc. among others. The Company is subject to general business regulations and laws as well as regulations and laws specifically governing the Internet and e-commerce.
