Business Description

Boston Private Financial Holdings, Inc., was incorporated on September 2, 1987, under the laws of The Commonwealth of Massachusetts. On July 1, 1988, the Company registered with the Board of Governors of the Federal Reserve System as a bank holding company under the Bank Holding Company Act of 1956, as amended, and became the parent holding company of Boston Private Bank & Trust Company, a trust company chartered by The Commonwealth of Massachusetts and insured by the Federal Deposit Insurance Corporation. BPFH conducts all of its business through its three segments, Private Banking, Investment Management, and Wealth Advisory. The Private Banking segment has one affiliate, Boston Private Bank, a trust company chartered by The Commonwealth of Massachusetts and insured by the FDIC. The Private Banking segment operates mainly in four geographic markets: New England, San Francisco Bay, Southern California, and the Pacific Northwest. The Bank pursues private banking and community-oriented business strategies in its four geographic markets. The Bank is principally engaged in providing banking, commercial banking, and a variety of other fiduciary services including investment management, advisory, and administrative services to high net worth individuals, their families, small and medium-sized businesses and professionals. The Investment Management segment has two consolidated affiliates: Dalton, Greiner, Hartman, Maher & Co., LLC, a registered investment adviser, and Anchor Capital Holdings, LLC, which is the parent company of Anchor Capital Advisors LLC and Anchor/ Russell Capital Advisors LLC, both of which are registered investment advisers. The Investment Managers serve the needs of pension funds, endowments, trusts, foundations and select institutions, mutual funds and high net worth individuals and their families throughout the United States and abroad. The Wealth Advisory segment has three consolidated affiliates, including KLS Professional Advisors Group, LLC, Bingham, Osborn & Scarborough, LLC, and DTC, all of which are wealth management firms and, with the exception of DTC, registered investment advisers. The Wealth Advisors provide comprehensive, planning-based financial strategies to high net worth individuals and their families, and non-profit institutions. The Company's main competitors with respect to investment management and trust services are mainly commercial banks and trust companies, mutual fund companies, investment advisory firms, stock brokerage firms, other financial companies and law firms. As a bank holding company, the Company is subject to regulation, supervision and examination by the Federal Reserve under the BHCA.
