Western Refining Inc was incorporated in September 2005 under Delaware law. The Company is a crude oil refiner and marketer of refined products. The Company operates in three business group: the refining group, the wholesale group, and the retail group. The refining group operates the two refineries and related refined product distribution terminals and asphalt terminals. At the refineries, it refines crude oil and other feedstocks into refined products such as gasoline, diesel fuel, jet fuel, and asphalt. It markets refined products to a diverse customer base including wholesale distributors and retail chains. The wholesale group distributes gasoline, diesel fuel, and lubricant products. The retail group operates retail stores that sell gasoline, diesel fuel, and convenience store merchandise. The Company own and operate two refineries with a total crude oil throughput capacity of approximately 153,000 barrels per day including its 128,000 bpd refinery in El Paso, Texas, and its 25,000 bpd refinery near Gallup, New Mexico. As of February 22, 2013, the Company operated approximately 222 retail stores in Arizona, Colorado, New Mexico, and Texas; a fleet of crude oil and refined product truck transports; and a wholesale petroleum products distributor that operates in Arizona, California, Colorado, Nevada, New Mexico, Texas, Maryland, and Virginia. The Company's refineries make various grades of gasoline, diesel fuel, jet fuel, and other products from crude oil, other feedstocks, and blending components. It also acquires refined products through exchange agreements and from various third-party suppliers. It sells these products through its wholesale and retail groups, independent wholesalers and retailers, commercial accounts, and sales and exchanges with major oil companies. The Company competes with Valero Energy Corp., Phillips 66 Company, Alon USA Energy, Inc., HollyFrontier Corporation, Tesoro Corporation, Chevron Products Company ("Chevron"), and Suncor Energy, Inc. as well as refineries in other regions of the country that serve the regions it serves through pipelines.
