Salesforce (CRM), the global leader in AI-powered Customer Relationship Management (CRM) solutions, has signed a definitive agreement to acquire Informatica (INFA) for approximately $8 billion in equity value. This strategic acquisition, aimed at bolstering Salesforce's AI and data management prowess, is expected to close early in Salesforce’s fiscal year 2027, contingent on regulatory approvals and customary closing conditions.
Under the terms of the agreement, Informatica shareholders will receive $25 in cash per share. Salesforce plans to finance this acquisition through a combination of cash and new debt. This acquisition will further cement Salesforce's leadership in the $150-billion-plus enterprise data market by integrating Informatica's robust data catalog, integration, governance, and quality services into its platform.
The collaboration between Salesforce and Informatica is anticipated to create a comprehensive, agent-ready data platform, crucial for deploying safe and responsible autonomous AI agents. Informatica’s advanced data integration and management capabilities are expected to enhance Salesforce’s Customer Data Platform (CDP), enrich the Agentforce platform, and improve API data governance within MuleSoft, providing enriched insights for Tableau users.
The transaction has received approval from the boards of both companies, with approximately 63% of Informatica’s voting power in support, making further shareholder approval unnecessary. Salesforce expects the acquisition to be accretive on a non-GAAP operational basis, enhancing margins and revenue from the second year post-close.
The announcement follows Salesforce’s commitment to responsible mergers and acquisitions, aiming to drive customer success and maximize shareholder value by integrating Informatica's industry-leading data management capabilities. Salesforce and Informatica are poised to significantly enhance their joint offerings across various sectors, including Public Sector, Life Sciences, Healthcare, and Financial Services.
