The acquisition involves the issuance of 8 million common shares of FCCN, with an additional 8 million shares held in escrow linked to performance-based earnout provisions. 42 Telecom, recognized for its leading role in SMS services in Vietnam, guarantees revenues of $15 million for 2025.
This strategic move aims to integrate 42 Telecom's advanced messaging infrastructure with Spectral’s Distributed Quantum Ledger architecture.
