Hanger Orthopedic Group Inc. develops acquires and operates orthotic and prosthetic patient-care centers. Highlight of Business Operations:

For the three and six months ended June 30, 2009, our net sales were $193.5 million and $362.7 million, respectively, and we recorded net income of $10.0 million and $14.6 million, respectively. For the three and six months ended June 30, 2008, our net sales were $181.2 and $338.8 million, respectively, and we recorded net income of $8.0 million and $11.6 million, respectively.

Net sales for the three months ended June 30, 2009 increased by $12.3 million, or 6.8%, to $193.5 million from $181.2 million in the prior years second quarter. The sales increase was principally the result of a $6.9 million, or 4.4% increase in same-center sales in our patient care business, a $0.9 million, or 4.2% increase in external sales of our distribution segment, and $4.3 million associated with acquisitions. As a result of the sales increase, income from operations increased $2.8 million to $24.2 million in the three months ended June 30, 2009 from $21.4 million in the same period in 2008.

Net sales for the six months ended June 30, 2009 increased by $23.9 million, or 7.0%, to $ 362.7 million from $338.8 million in the same period of the prior year. The sales increase was principally the result of a $13.1 million, or 4.4%, increase in same-center sales in our patient care business, a $2.9 million, or 7.1%, increase in external sales of our distribution segment, and $7.9 million associated with acquisitions. As a result of the sales increase, income from operations increased $3.7 million to $39.3 million in the six months ended June 30, 2009 from $35.6 million in the same period in 2008.

Net cash provided by operations improved by $8.2 million for the six months ended June 30, 2009 to $20.8 million compared to $12.6 million in the same period of the prior year. The improvement in cash provided by operations for the period was primarily the result of improved operating results and a $4.1 million decrease in working capital. Days sales outstanding improved to 48 days as of June 30, 2009 from 52 days as of June 30, 2008.

As of June 30, 2009, $91.9 million, or 21.6%, of the Companys total debt of $426.4 million was subject to variable interest rates. The Company had access to funds of $114.1 million, comprised of $76.4 million of cash and $37.7 million available under its Revolving Credit Facility at June 30, 2009. The Company believes that it has sufficient liquidity to conduct its normal operations and fund its acquisition plan in 2009.

For the full year 2009, the Company expects revenues to be between $750 million and $760 million, which would result in growth of 6.7% to 8.1% compared to fiscal 2008. The Company also expects diluted EPS in the range of $1.02 to $1.04 for twelve months ended December 31, 2009.
