DNB Financial Corp is a bank holding company for DNB First, National Association (the Bank). The Bank is a full service commercial bank providing banking services to individuals and small to medium sized businesses.

DNB Financial Corp was incorporated on October 28, 1982. It is a bank holding company. The Bank is a full service commercial bank providing a range of services to individuals and small to medium sized businesses in the southeastern Pennsylvania market area, including accepting time, demand, and savings deposits and making secured and unsecured commercial, real estate and consumer loans. In addition, the Bank has twelve full service branches and a full-service wealth management group known as "DNB First Wealth Management". The Company is subject to a number of complex Federal banking laws, notably the provisions of the Bank Holding Company Act of 1956, as amended ("Bank Holding Company Act") and the Change in Bank Control Act of 1978 ("Change in Control Act"), and to supervision by the Federal Reserve Board.
