HSN Inc is a multi-channel retailer offering retail experiences through various platforms including television, online, mobile, catalogs and in retail and outlet stores. It operates through two different operating segments, HSN and Cornerstone.

HSN Inc was incorporated in Delaware in May 2008 in connection with the spin-off of several businesses previously owned by IAC/InterActiveCorp, or IAC. The Company is a multi-channel retailer that offers various third party and proprietary merchandise directly to consumers. The Company operates through two segments HSN and Cornerstone. HSN segment is an entertainment and lifestyle retailer offering a curated assortment of exclusive products and top brand names to its customers through television home shopping programming on the HSN television networks, through its business-to-consumer digital commerce site HSN.com, through mobile applications and through its outlet stores. Cornerstone segment is comprised of interactive, aspirational home and apparel lifestyle brands, including Ballard Designs, Chasing Fireflies, Frontgate, Garnet Hill, Grandin Road, Improvements and TravelSmith. The Company has merchandise across its various channels of distribution. HSN merchandise categories consist of jewelry, fashion (apparel & accessories), beauty & health, and home & other (including household, home design, electronics, culinary and other). The Company also provides customers with convenient options in connection with the purchase, payment and shipment of merchandise, some of which may vary by brand, business or product. Merchandise may be purchased online, through mobile devices, or ordered using toll free phone numbers through live sales and service agents. It also offers the convenience of an automated attendant system and, in limited markets, remote control ordering capabilities through pay television set-top boxes. The Company markets and offers merchandise through television, online, catalogs and other channels. The manner in which it promote and sell merchandise, including claims and representations made in connection with these efforts, is regulated by a wide variety of federal, state and local laws, regulations, rules, policies and procedures.
