The lawsuit alleges that Defendants issued a materially misleading proxy statement recommending that Ultimate Software shareholders vote in favor of the proposed transaction. LLC, Ultimate Software’s financial advisor, in support of its fairness opinion of the proposed transaction; and (3) the sales process leading to the proposed transaction.
