NEW YORK, April 15, 2019 (GLOBE NEWSWIRE) -- Halper Sadeh LLP, a global investor rights law firm, announces the filing of a shareholder class action lawsuit against The Ultimate Software Group, Inc. (“Ultimate Software” or the “Company”) ( ULTI) in connection with the proposed sale of Ultimate Software to Hellman & Friedman.

The lawsuit alleges that Defendants issued a materially misleading proxy statement recommending that Ultimate Software shareholders vote in favor of the proposed transaction. According to the complaint, the proxy statement contains materially incomplete and misleading information concerning, among other things: (1) the financial projections prepared by Ultimate Software management; (2) the value of Ultimate Software shares and the financial analyses performed by Goldman Sachs & Co. LLC, Ultimate Software’s financial advisor, in support of its fairness opinion of the proposed transaction; and (3) the sales process leading to the proposed transaction. As a result, Ultimate Software shareholders must be provided with this information in order to adequately assess and value the merger consideration. The lawsuit seeks to enjoin the shareholder vote on the proposed transaction until such information is disclosed.
