Mesa Laboratories, Inc. Announces Proposed Public Offering of Common Stock and Convertible Senior Notes

LAKEWOOD, Colo., Aug. 06, 2019 (GLOBE NEWSWIRE) -- Mesa Laboratories, Inc. ( MLAB) (“Mesa”) today announced that it has commenced concurrent underwritten public offerings of 375,000 shares of its common stock and $150 million aggregate principal amount of its convertible senior notes due 2025 (the “notes”). In addition, Mesa expects to grant (a) the underwriters of the common stock offering a 30-day option to purchase up to 56,250 additional shares and (b) the underwriters of the notes offering a 13-day option to purchase up to $22.5 million aggregate principal amount of additional notes. The offerings are subject to market and other conditions, and there can be no assurance as to whether or when the offerings may be completed or as to the actual size or terms of the offerings. The offerings are not contingent upon each other.

The notes are expected to mature on August 15, 2025, unless earlier converted or repurchased. The notes will be convertible at the option of holders in certain circumstances and during certain periods into cash, common stock or a combination thereof, at Mesa’s election. The interest rate, conversion rate and other terms of the notes will be determined at the time of pricing of the notes offering.

Mesa intends to use the net proceeds from the offerings to continue its acquisition strategy and for general corporate purposes. Mesa has not entered into any agreements with respect to any acquisitions at this time.

Jefferies LLC and J.P. Morgan Securities LLC are acting as the representatives of the underwriters for the offerings. Evercore Group L.L.C. and Wells Fargo Securities, LLC are also acting as book runners on the common stock offering and the notes offering, respectively, and Janney Montgomery Scott LLC is acting as a lead manager on the common stock offering.
