American Electric Power Co Inc was incorporated under the laws of the State of New York in 1906 and reorganized in 1925. It is a public utility holding company that owns, directly or indirectly, all of the outstanding common stock of its public utility subsidiaries and varying percentages of other subsidiaries. The service areas of the Company's public utility subsidiaries cover portions of the states of Arkansas, Indiana, Kentucky, Louisiana, Michigan, Ohio, Oklahoma, Tennessee, Texas, Virginia and West Virginia. The transmission facilities of AEP's public utility subsidiaries are interconnected and their operations are coordinated. Transmission networks are interconnected with extensive distribution facilities in the territories served. The public utility subsidiaries of AEP have traditionally provided electric service, consisting of generation, transmission and distribution, on an integrated basis to their retail customers. Restructuring laws in Michigan, Ohio and the ERCOT area of Texas have caused AEP public utility subsidiaries in those states to unbundle previously integrated regulated rates for their retail customers. In Ohio, AEP's regulated utility recently separated its generation assets from its distribution and transmission assets. The Company's segments include Vertically Integrated Utilities, Transmission and Distribution Utilities, Generation & Marketing, AEP Transmission Holdco and AEP River Operations. Generation, transmission and distribution of electricity for sale to retail and wholesale customers through assets owned and operated by AEGCo, APCo, I&M, KGPCo, KPCo, PSO, SWEPCo and WPCo. Transmission and distribution of electricity for sale to retail and wholesale customers through assets owned and operated by OPCo, TCC and TNC. Nonregulated generation in ERCOT and PJM. Development, construction and operation of transmission facilities through investments in its wholly-owned transmission only subsidiaries and transmission only joint ventures. Commercial barging operations that transport liquid, coal and dry bulk commodities primarily on the Ohio, Illinois and lower Mississippi Rivers. TCC is engaged in the transmission and distribution of electric power to approximately 806,000 retail customers through REPs in southern Texas. TNC is engaged in the transmission and distribution of electric power to approximately 188,000 retail customers through REPs in west and central Texas. WPCo provides electric service to approximately 41,000 retail customers in northern West Virginia. AEP's subsidiaries are currently subject to regulation by federal, state and local authorities with regard to air and water-quality control and other environmental matters, and are subject to zoning and other regulation by local authorities.
