Allied Nevada Gold Corp., was incorporated under the laws of Delaware on September 14, 2006. Until May 10, 2007 it was a wholly-owned subsidiary of Vista Gold Corp. (Vista), a corporation incorporated under the laws of the Yukon Territory, Canada. The Company engages in mining, development and exploration of gold properties in the state of Nevada. The Company's operating mine, the Hycroft Mine, is a past producing open-pit gold and silver heap leach operation located 54 miles west of Winnemucca, Nevada. The Company's products are unrefined gold and silver bars produced from the Hycroft Mine which are sent to refiners before being sold, Doré is sent to refiners to produce bullion that meets the required market standard of 99.95% pure gold. Under the terms of its refining agreements, the doré bars are refined for a fee, and the company's share of the refined gold and the separately-recovered silver are credited to its account or delivered to its buyers. The Company has proven and probable mineral reserve of 12.7 million ounces of gold and 481.9 million ounces of silver. Mining is currently carried out by open pit methods with a typical drill, blast, load, and haul cycle from two pits: the Brimstone and Cut-5 pits. The Company is in the process of implementing a two-stage expansion project that is intended to produce a six-fold growth in gold production at the mine by 2016. The Company's operating segments are the Hycroft Mine, Exploration, and Corporate and Other. The Hycroft Mine operating segment contains the exploration and operational activities at its wholly-owned Hycroft Mine located in Nevada. The Exploration operating segment contains the exploration and development activities on the Company's Advanced Exploration Properties and Other Exploration Properties. The Corporate and Other operating segment primarily contains the corporate overhead functions of the Company. The Company competes with other mining companies in connection with the acquisition of gold properties. There is competition for the limited number of gold acquisition opportunities, some of which are with companies having substantially greater financial resources than the company. The Company's gold projects are subject to various federal and state laws and regulations governing protection of the environment.
