Atmos Energy Corp. was incorporated in Texas in 1983. The Company is engaged in the regulated natural gas businesses as well as other nonregulated natural gas businesses. It has grown through a series of acquisitions, the most recent of which was the acquisition in October 2004 of the natural gas distribution and operations of TXU Gas Company. It distributes natural gas through regulated sales and transppipeline ortation arrangements to over three million residential, commercial, public authority and industrial customers in 12 states located in the South, which makes one of the country's largest natural-gas-only distributors based on number of customers. It also operates one of the largest intrastate pipelines in Texas based on miles of pipe. Through its nonregulated businesses, the Company provides natural gas management and marketing services to municipalities, other local gas distribution companies and industrial customers mainly in the Midwest and Southeast and natural gas transportation along with storage services to certain of its natural gas distribution divisions and third parties. Its core values include focusing on its employees and customers while conducting its business with honesty and integrity. The Company's business is operated through the following four segments: The natural gas distribution segment, which includes its regulated natural gas distribution and related sales operations; The regulated transmission and storage segment, which includes the regulated pipeline and storage operations of the Atmos Pipeline - Texas Division; The natural gas marketing segment, which includes a variety of nonregulated natural gas management services; and The pipeline, storage and other segment, which includes its nonregulated natural gas transmission and storage services. The Company's natural gas distribution segment consists of six regulated divisions, presented in order of total rate base, covering service areas in 12 states, which are: Atmos Energy Mid-Tex Division; Atmos Energy Kentucky/Mid-States Division; Atmos Energy Louisiana Division; Atmos Energy West Texas Division; Atmos Energy Colorado-Kansas Division and Atmos Energy Mississippi Division. The Company's regulated transmission and storage segment consists of the regulated pipeline and storage operations of its Atmos Pipeline - Texas Division. This division transports natural gas to its Mid-Tex Division, transports natural gas for third parties and manages five underground storage reservoirs in Texas. The Company's natural gas marketing activities are conducted through Atmos Energy Marketing (AEM), which is wholly-owned by Atmos Energy Holdings, Inc. (AEH). AEH is a wholly-owned subsidiary of AEC and operates mainly in the Midwest and Southeast areas of the United States.
