Bridge Capital Holdings was incorporated in the State of California on April 6, 2004. The Company is the holding company for Bridge Bank, National Association (N.A.). As a bank holding company, the Company is supervised by the Board of Governors of the Federal Reserve System (FRB). The Bank is a national banking association chartered by the Comptroller. The Bank was organized on December 6, 2000 and commenced operations on May 14, 2001. The bank serves a national client base through business offices located in all regions of the country through a team of highly-qualified, experienced bankers. It provides working capital and term debt to small and middle market businesses from across many industries, and at all stages - from inception to IPO and beyond - with an emphasis on corporate banking and emerging technology companies. Its lending solutions include structured finance (asset-based lending and factoring), commercial real estate, Small Business Administration (SBA) lending, equipment financing, bridge loans, corporate credit cards and lines of credit. The bank's depository and corporate banking services include cash and treasury management solutions, interest-bearing term deposit accounts, checking accounts, ACH payment and wire solutions, fraud protection, remote deposit capture through Smart Deposit Express, courier services and online banking. Additionally, its International Banking Division serves clients operating in the global marketplace through services including foreign exchange (FX payments and hedging), letters of credit and export/import financing. Bridge Bank is a preferred SBA lender, a premier lender for the Export-Import Bank of the United States (EX-IM) and is a certified Bay Area Green Business. The Bank competes in the marketplace for deposits and loans, principally against these banks, independent community banks, savings and loan associations, thrift and loan companies, credit unions, mortgage banking companies, and non-bank institutions such as mutual fund companies and investment brokerage firms that claim a portion of the market. The Company and the Bank are subject to extensive regulation under both federal and state law.
