Coca-Cola Enterprises Inc., a Delaware corporation was incorporated in 2010 by Legacy CCE, and, following the Merger, it owns the European bottling operations of Legacy CCE, as well as the bottling operations in Norway and Sweden, and is a publicly traded Company. The Company Markets, produces, and distributes nonalcoholic beverages. The Company's product portfolio includes energy drinks, still and sparkling waters, juices and juice drinks, sports drinks, and ready-to-drink teas. It serves a market of approximately 170 million consumers throughout Belgium, continental France, Great Britain, Luxembourg, Monaco, the Netherlands, Norway, and Sweden. The Company is TCCC's (The Coca-Cola Company) strategic bottling partner in Western Europe and independent Coca-Cola bottlers. The Company has bottling rights within its territories for various beverages, including products with the name 'Coca-Cola.' The Company conducts its business mainly under agreements with TCCC, with more than 90 percent of its sales volume consisting of sales of TCCC products. These agreements generally give it the right to market, produce, and distribute beverage products of TCCC in authorized containers in specified territories. Its bottling territories consist of Belgium, continental France, Great Britain, Luxembourg, Monaco, the Netherlands, Norway, and Sweden. The Company's five brands by volume are Coca-Cola, Diet Coke/Coca-Cola light, Coca-Cola Zero, Fanta and Capri-Sun. The Company purchases syrups and concentrates from The Coca-Cola Company and other licensors to manufacture products. In addition, The Company purchases sweeteners; juices; mineral waters; finished product; carbon dioxide; fuel; PET preforms; glass, aluminum, and plastic bottles; aluminum and steel cans; pouches; closures; post-mix packaging; and other packaging materials. Its products are available in a variety of different package types and sizes (single-serve and multi-serve), including, but not limited to, aluminum and steel cans, glass, polyethylene terephthalate (PET) and aluminum bottles, pouches, and bag-in-box for fountain use. The Company generally purchases its raw materials, other than concentrates, syrups, mineral waters, and sweeteners, from multiple suppliers. It produces its plastic bottle requirements within its production facilities using preforms purchased from multiple suppliers. The Company's competitors include bottlers and distributors of products of PepsiCo, Inc., Nestlé S.A., Groupe Danone S.A., and of private-label products, including those of certain of its customers. The production, distribution, and sale of many of its products is subject to various laws and regulations of the countries in which it operates that regulate the production, packaging, sale, safety, advertising, labeling, and ingredients of its products.
