Chemical Financial Corp was incorporated in the State of Michigan under Michigan law in August 1973. It is a financial holding company with its business concentrated in a single industry segment commercial banking. The Corporation, through its wholly-owned subsidiary bank, Chemical Bank, offers a full range of traditional banking and fiduciary products and services. These products and services include business and personal checking accounts, savings and individual retirement accounts, time deposit instruments, electronically accessed banking products, residential and commercial real estate financing, commercial lending, consumer financing, debit cards, safe deposit box services, money transfer services, automated teller machines, access to insurance and investment products, corporate and personal wealth management services and other banking services. The principal markets for the Corporation's products and services are communities in Michigan where the branches of Chemical Bank are located and the areas immediately surrounding those communities. The business of banking is highly competitive. The Corporation and Chemical Bank are subject to extensive supervision and regulation under various federal and state laws.
