Business Description

Carriage Services, Inc. was incorporated in the state of Delaware in December of 1993. The Company is a provider of death care services and merchandise in the United States. It operates two types of businesses: Funeral Home Operations and Cemetery Operation. Funeral homes are mainly service businesses that provide burial and cremation services and sell related merchandise, such as caskets and urns. Given the high fixed cost structure associated with funeral home operations, the following are key factors affecting its profitability: demographic trends in terms of population growth and average age, which impact death rates and number of deaths; establishing and maintaining market share positions supported by strong local heritage and relationships; effectively responding to increasing cremation trends by packaging complimentary service and merchandise; controlling salary and merchandise costs; and exercising pricing leverage related to its at-need business to increase average revenues per contract. Cemeteries are mainly a sales business providing interment rights and related merchandise, such as markers and memorials. It mainly serves suburban and rural markets, where it mainly competes with smaller, independent operations. It provides funeral and cemetery services and products on both an 'at-need' (time of death) and 'preneed' (planned prior to death) basis. The operating environment in the death care industry has been highly competitive. Publicly traded companies operating in the United States are Service Corporation International, Stewart Enterprises, Inc., Keystone North America, Inc. and StoneMor Partners L.P. In addition, a number of smaller, non-public companies have been active in acquiring and operating funeral homes and cemeteries. The Company's primary competition in most of its markets is from local independent operators. Its operations are subject to regulations, supervision and licensing under numerous foreign, federal, state and local laws, ordinances and regulations, including regulations concerning trust funds, preneed sales of funeral and cemetery products and services and various other aspects of its business.
