Citi Trends Inc was incorporated under the name Allied Fashion, Inc. with the Secretary of State of the State of Delaware on March 3, 1999. On June 26, 2001 the company changed its name from Allied Fashion, Inc. to Citi Trends, Inc. The Company completed its initial public offering on May 18, 2005. The Company is a value-priced retailer of urban fashion apparel and accessories for the entire family. The Company's merchandise offerings are designed to appeal to the preferences of fashion conscious consumers, particularly African-Americans. The Company operates approximately 511 stores in both urban and rural markets in 29 states. It offers products under brand Citi Steps, Red Ape, Vintage Harlem, and Lil Ms Hollywood. Its merchandise includes apparel, accessories and home decor. Within apparel, it offers fashion sportswear for men, women and children, including offerings for newborns, infants, toddlers, boys and girls. The Company also offers accessories, which includes handbags, jewelry, footwear, belts, intimate apparel and sleepwear. Its home products include decorative home product, functional home product, beauty, books, toys and electronic accessories. The Company purchases its merchandise at attractive prices and mark prices up less than department or specialty stores. The Company competes against a group of retailers, including national off-price retailers, mass merchants, smaller specialty retailers and dollar stores. In addition, the merchandise the company sells in its stores is subject to regulatory standards set by various governmental authorities with respect to quality and safety.
