Ethan Allen Interiors, Inc. was incorporated in Delaware on May 25, 1989. The Company through its wholly-owned subsidiary, Ethan Allen Global, Inc., and Ethan Allen Global, Inc.'s subsidiaries is a manufacturer and retailer of quality home furnishings and accessories, offering home decorating and design solutions through home furnishing retail networks. The Company's operations are classified into two operating segments: wholesale and retail. The wholesale segment is mainly involved in the development of the Ethan Allen brand, which encompasses the design, manufacture, domestic and off-shore sourcing, sale and distribution of a full range of home furnishings and accessories to a network of independently operated and Ethan Allen operated design centers as well as related marketing and brand awareness efforts. Wholesale revenue is generated upon the wholesale sale and shipment of its product to all retail design centers, including those operated by Ethan Allen. Wholesale profitability includes the wholesale gross margin, which represents the difference between the wholesale sales price and the cost associated with manufacturing and sourcing the related product, and other operating costs associated with wholesale segment activities. The retail segment sells home furnishings and accessories to consumers through a network of company-operated design centers. Retail revenue is generated upon the retail sale and delivery of its product to the customers. Retail profitability includes the retail gross margin, which represents the difference between the retail sales price and the cost of goods purchased from the wholesale segment, and other operating costs associated with retail segment activities. The important raw materials it uses in furniture manufacturing are lumber, veneers, plywood, hardware, glue, finishing materials, glass, mirrored glass, laminates, fabrics, foam, and filling material. The various types of wood used in its products include cherry, ash, oak, maple, prima vera, mahogany, birch and pine, substantially all of which are purchased domestically.
