First Commonwealth Financial Corp was incorporated in Pennsylvania. It is a financial holding company. The Company provides consumer and commercial banking services through its bank subsidiary, First Commonwealth Bank. It also provides trust and wealth management services and offer insurance products through FCB and other operating subsidiaries. First Commonwealth Bank is a Pennsylvania bank and trust company. At December 31, 2012, the Bank operated 112 community banking offices throughout western and central Pennsylvania and a loan production office in downtown Pittsburgh, Pennsylvania. The Bank also operates a network of 120 automated teller machines, or ATMs, at various branch offices and offsite locations. All of its ATMs are part of the NYCE and MasterCard/Cirrus networks, both of which operate nationwide. The Bank is a member of the Allpoint ATM network which allows surcharge-free access to over 50,000 ATMs. The Bank is also a member of the "Freedom ATM Alliance," which affords cardholders surcharge-free access to a network of over 700 ATMs in over 50 counties in Pennsylvania, Maryland, New York, West Virginia and Ohio. The Company's consumer services include Internet, mobile and telephone banking, an automated teller machine network, personal checking accounts, interest-earning checking accounts, savings accounts, insured money market accounts, debit cards, investment certificates, fixed and variable rate certificates of deposit, secured and unsecured installment loans, construction and real estate loans, safe deposit facilities, credit lines with overdraft checking protection and IRA accounts. Commercial banking services include commercial lending, small and high-volume business checking accounts, on-line account management services, ACH origination, payroll direct deposit, commercial cash management services and repurchase agreements. It also provides a variety of trust and asset management services and a full complement of auto, home and business insurance as well as term life insurance. The Company offers annuities, mutual funds, stock and bond brokerage services through an arrangement with a broker-dealer and insurance brokers. Its commercial customers are small and mid-sized businesses in central and western Pennsylvania. It faces competition for customers, loans and deposits from many companies, including commercial banks, savings and loan associations, finance companies, credit unions, trust companies, mortgage companies, money market mutual funds, insurance companies, and brokerage and investment firms.
