Comfort Systems USA Inc was incorporated in December 12, 1996 in Delaware. The Company provides heating, ventilation and air conditioning "HVAC" installation, maintenance, repair and replacement services within the mechanical services industry. It has 36 operating units in 79 cities and 88 locations throughout the United States. It operates in the commercial, industrial and institutional HVAC markets and performs its services within office buildings, retail centers, apartment complexes, manufacturing plants, and healthcare, education and government facilities. In addition to standard HVAC services, it provides specialized applications such as building automation control systems, fire protection, process cooling, electronic monitoring and process piping. Certain locations also perform related activities such as electrical service and plumbing. Its HVAC industries are divided into two service functions; installation in newly constructed facilities, and maintenance, repair and replacement in existing facilities. Installation services consist of design and build, and plan and spec projects. Maintenance, repair and replacement services includes maintaining, repairing, replacing, reconfiguring and monitoring previously installed HVAC systems and building automation controls. The Company manages its locations on a decentralized basis, with local management maintaining responsibility for day-to-day operating decisions. Its local management is augmented by regional leadership that focuses on core business competencies, regional financial performance, cooperation and coordination between locations, implementing practices and corporate initiatives. In addition to senior management, local personnel generally includes design engineers, sales personnel, customer service personnel, installation and service technicians, sheet metal and prefabrication technicians, estimators and administrative personnel. The Company uses raw materials and components such as HVAC system components, ductwork, steel, sheet metal and copper tubing and piping. The components of commercial HVAC systems are compressors and chillers that are manufactured by Carrier, Lennox, McQuay, Trane and York. The suppliers of building automation control systems are Honeywell, Johnson Controls, Siemens, York, Automated Logic, Novar and Andover Control Corporation. The Company is subject to various federal, state and local laws and regulations, including licensing requirements applicable to engineering, construction and service technicians, building and HVAC codes and zoning ordinances, regulations relating to consumer protection, including those governing residential service agreements, and regulations relating to worker safety and protection of the environment.
