Business Description

Group 1 Automotive, Inc. is a Delaware corporation organized in 1995. It is an operator in the automotive retail industry. As of December 31, 2011, it owned and operated 131 franchises, representing 31 brands of automobiles, at 104 dealership locations and 25 collision service centers in the United States of America and 10 franchises at five dealerships and three collision centers in the United Kingdom. Through its operating subsidiaries, it markets and sells an extensive range of automotive products and services, including new and used vehicles and related financing, vehicle maintenance and repair services, replacement parts, warranty, insurance and extended service contracts. Its operations are mainly located in major metropolitan areas in the states of Alabama, California, Florida, Georgia, Kansas, Louisiana, Maryland, Massachusetts, Mississippi, New Hampshire, New Jersey, New York, Oklahoma, South Carolina and Texas in the U.S. and in the towns of Brighton, Hailsham, and Worthing in the U.K. It operates in a highly competitive industry. A number of state and federal laws and regulations affect its business and the business of its manufacturers. The Company's operations involve the use, handling, storage and contracting for recycling and/or disposal of materials such as motor oil and filters, transmission fluids, antifreeze, refrigerants, paints, thinners, batteries, cleaning products, lubricants, degreasing agents, tires and fuel.
