Group 1 Automotive Inc is a Delaware corporation organized in 1995. It is an operator in the automotive retail industry. At the year end, it owned and operated 147 franchises, representing 34 brands of automobiles, at 116 dealership locations and 28 collision service centers in the United States of America, 19 franchises at 14 dealerships and four collision centers in the United Kingdom and 22 franchises at 18 dealerships and five collision centers in Brazil. Through its dealerships, it sells new and used cars and light trucks; arrange related vehicle financing; sells service and insurance contracts; provide automotive maintenance and repair services; and sell vehicle parts. Its operations are primarily located in major metropolitan areas in Alabama, California, Florida, Georgia, Kansas, Louisiana, Maryland, Massachusetts, Mississippi, New Hampshire, New Jersey, New York, Oklahoma, South Carolina, and Texas in the U.S., in 13 towns in the U.K., and in key metropolitan markets in the states of Sao Paulo and Parana in Brazil. Its segments include the U.S., the U.K., and Brazil. Each of the reportable segments is comprised of retail automotive franchises, which sell new vehicles, used vehicles, parts and automotive services, finance and insurance products, and collision centers. The Company is subject to competition from dealers that sell the same brands of new vehicles that it sells and from dealers that sell other brands of new vehicles that it does not sell in a particular market. The Company's business is subject to a complex variety of stringent laws and regulations governing management and disposal of materials and wastes, protection of the environment and occupational health and safety.
