During the quarter, after visiting with the new CEO, we decided to reinvest in daily-deal pioneer Groupon, Inc. (NASDAQ:GRPN) Groupon has completely reinvented its business with mobile at the core. Groupon possesses 43 million active global customers, all of whom are highly transactional, purchasing goods and services directly from merchants on Groupon's platform. Groupon has transformed its business from one dependent on e-mailed deals "pushed" to consumers to one empowering consumers to "pull" the deals of their choice from Groupon's website and mobile apps. More than 50 million people worldwide have downloaded Groupon's mobile app and over 50% of its North American transactions are now coming from mobile devices. Mobile users have a much higher propensity to transact – as they proactively go to the app and search for a deal – and are thus far more valuable to Groupon's merchant partners.

Groupon Inc is a Delaware corporation, incorporated on January 15, 2008 under the name ThePoint.com, Inc. It started Groupon in October 2008 and officially changed its name to Groupon, Inc. on June 16, 2009. The Company provides services in local commerce, making it easy for people around the world to search and discover great businesses and merchandise. The Company offers consumers deals on things to eat, see, do and buy in 48 countries. It operates online local marketplaces that connect merchants to consumers by offering goods and services at a discount. Its operations are organized into three principal segments: North America, which represents the United States and Canada; EMEA, which is comprised of Europe, the Middle East and Africa, and the remainder of its international operations. It offers deals on goods and services in three primary categories: Local Deals, Groupon Goods and Groupon Getaways. It acts as a third party marketing agent by selling vouchers that can be redeemed for products or services with a merchant. It also sells merchandise directly to customers in transactions for which it is the merchant of record. The Company's Local category includes deals with local merchants, deals with national merchants and local events and offers deals for local merchants across multiple subcategories, including food and drink, events and activities, beauty and spa, health and fitness, home and garden and automotive. In the United States, customers can book reservations at selected restaurants through its website and mobile applications. The Company's coupon offering, Freebies, gives customers the ability to access coupons from thousands of retailers. GrouponLive is a partnership with LiveNation whereby the Company serves as a local resource for LiveNation events and clients of its global ticketing business, Ticketmaster. The Company's Goods category offers customers the ability to find deals on merchandise across multiple product lines, including electronics, sporting goods, jewelry, toys, home and apparel. It earns direct revenue from transactions in which it sells products directly to customers and serves as the merchant of record, as well as third party revenue from transactions in which it acts as a third party marketing agent and sells vouchers that can be redeemed for products with a merchant. Through its Getaways category, it features travel offers, including hotels, airfare and package deals covering both domestic and international travel. The Company also offers tools that merchants can use to operate their businesses more efficiently, including Payments, the Company's credit card payment processing service, and Breadcrumb, its point-of-sale solution. The Company distributes its deals to customers primarily through three channels: its mobile platform, websites and email.
