Business Description

Chart Industries, Inc. is a Delaware corporation incorporated in 1992. The Company is an independent global manufacturer of engineered equipment used in the production, storage and end-use of hydrocarbon and industrial gases. The Company supplies engineered equipment used throughout the global liquid gas supply chain. It is a manufacturer of standard and engineered equipment mainly used for low-temperature and cryogenic applications. It operates in three segments: Energy & Chemicals or E&C; Distribution and Storage or D&S and BioMedical. Each segment manufactures and markets different cryogenic equipment and systems to distinct end-users; they all share a reliance on its heat transfer and low temperature storage know-how and expertise. The E&C and D&S segments manufacture products used mainly in energy-related and general industrial applications, such as the separation, liquefaction, distribution and storage of hydrocarbon and industrial gases. Through its BioMedical segment, it supplies cryogenic equipment used in the storage and distribution of biological materials and oxygen, used mainly in the medical, biological research and animal breeding industries. The Company's products in the E&C segment include the following: Heat Exchangers and Core-in-Kettles(r), Cold Boxes, Process Systems and LNG Vacuum Insulated Pipe. The Company's D&S segment, which accounted for 26% of its sales for the year ended December 31, 2011, the Company is a supplier of cryogenic equipment to the global bulk and packaged industrial gas markets. Its products in the D&S segment include the following: Cryogenic Bulk Storage Systems, Cryogenic Packaged Gas Systems, Cryogenic Systems and Components, LNG Applications, Beverage Liquid CO2 Systems and Cryogenic Services. The BioMedical segment, which accounted for 25% of its sales for the year ended December 31, 2011, consists of various product lines built around its core competencies in cryogenics, but with a focus on the respiratory and biological users of the liquids and gases instead of the producers and distributors of cryogenic liquids. Its products in the BioMedical segment include the following: Respiratory Products and Biological Storage Systems. The Company's engineering and product development activities are focused on developing new and improved solutions and equipment for the users of cryogenic liquids. The raw materials used in manufacturing include aluminum products, stainless steel products, palladium oxide, carbon steel products, valves and gauges and fabricated metal components. It markets its products and services throughout the world mainly through direct sales personnel and through independent sales representatives and distributors. Its main customers are multinational producers and distributors of hydrocarbon and industrial gases and their suppliers.
