Business Description

Intervest Bancshares Corporation (IBC) is a holding company under the Bank Holding Company Act and was incorporated in 1993 under the laws of the State of Delaware. IBC is the parent company of Intervest National Bank (INB) and IBC owns 100% of its capital stock. The Company's business is banking and real estate lending conducted through INB's operations. INB is a nationally chartered commercial bank. INB conducts a personalized commercial and consumer banking business that attracts deposits from the general public. It provides internet banking services through its web site www.intervestnatbank.com, which also attracts deposit customers from outside its primary market areas. INB uses the deposits, together with funds generated from its operations, principal repayments of loans and securities and other sources, to originate mortgage loans secured by commercial and multifamily real estate and to purchase investment securities. INB's revenues are derived mainly from interest and fees received from originating loans, and from interest and dividends earned on security and other short-term investments. The main sources of funds for INB's lending activities are deposits, repayment of loans, maturities and calls of securities and cash flow generated from operations. INB's principal expenses consist of interest paid on deposits and borrowings and operating, general and administrative expenses. INB's deposit flows and the rates it pays on deposits are influenced by interest rates on competing investments available to depositors and general market rates of interest. The Company competes with other commercial banks, savings and loan associations, credit unions, finance companies, mutual funds, insurance companies, brokerage and investment banking companies, and other financial intermediaries. The Company is a holding company under the Bank Holding Company Act of 1956 (BHCA) and is subject to supervision, regulation and examination by the Board of Governors of the Federal Reserve System (FRB).
