Iridium Communications Inc., formerly GHL Acquisition Corp. was organized under the laws of the State of Delaware on November 2, 2007. On February 21, 2008, it consummated its initial public offering and on September 29, 2009, it acquired, directly and indirectly, all the outstanding equity of Iridium Holdings LLC, or Iridium Holdings, and the Company changed its name from GHL Acquisition Corp. to Iridium Communications Inc. The Company is a provider of mobile voice and data communications services via satellite, and the only provider of mobile satellite communications services offering 100% global coverage. The Company's satellite network provides communications services to regions of the world where existing wireless or wireline networks do not exist or are impaired, including remote or rural land areas, open ocean, the polar regions and regions where the telecommunications infrastructure has been affected by political conflicts or natural disasters. The Company offers voice and data communications services to businesses, the U.S. and foreign governments, non-governmental organizations and consumers via its constellation of 66 in-orbit satellites, in-orbit spares and related ground infrastructure, including a main commercial gateway. The Company's commercial end-user base, which it views as its main growth engine, is diverse and includes markets such as emergency services, maritime, government, utilities, oil and gas, mining, leisure, forestry, construction and transportation. Many of its end-users view its products and services as critical to their daily operations and integral to their communications and business infrastructure. It also offers a combined voice transceiver and data modem, which its distributors integrate into a variety of communications solutions that are deployed in different applications around the world. It currently faces substantial competition from other service providers that offer a range of mobile and fixed communications options. The Company's most direct competition comes from other global mobile satellite services providers. Currently, its main global mobile satellite services competitors are Inmarsat, Globalstar and ORBCOMM. The Company competes mainly on the basis of coverage, quality, mobility and pricing of services and products.
