KEELEY Mid Cap Dividend Value Fund Comments on Iron Mountain Inc - Jul 30, 2014

Iron Mountain Inc. (IRM) proved to be the top performing position during the second quarter after climbing over 28 percent and adding 45 basis points of return to the Fund. A leader in hard-copy storage, shares of Iron Mountain jumped sharply in June after receiving approval from the Internal Revenue Service (IRS) to operate as a Real Estate Investment Trust (REIT). The approval process had placed a cloud of uncertainty over the stock for a number of months, and should now return the focus to the fundamental outlook of the company. The conversion to a REIT was a catalyst for our decision to hold the stock, as that conversion will result in significant tax savings and an increased dividend yield.

Iron Mountain Inc was incorporated in Pennsylvania in March 1997 and is the successor by merger immediately preceding the offerings to Pierce Leahy Corp. On May 27, 2005, it reincorporated as a Delaware corporation. It is a global full-service provider of information management and related services for all media in various locations throughout North America, Europe, Latin America and Asia Pacific. It has a customer base comprised of commercial, legal, banking, health care, accounting, insurance, entertainment and government organizations. It offers comprehensive records management services, data protection & recovery services and information destruction services, along with the expertise and experience to address complex information challenges such as rising storage costs, litigation, regulatory compliance and disaster recovery. The reportable operating segments of the Company are North American Business, International Business and Corporate. The Company's North American Business offer physical records management services, data protection & recovery services and information destruction services, in their respective geographies. Worldwide Digital Business provides information protection and storage services for electronic records conveyed via telecommunication lines and the Internet, including online backup and recovery solutions for server data and personal computers, as well as email archiving, eDiscovery services and third party technology escrow services that protect intellectual property assets such as software source code. Its Asia Pacific operations provide Hard Copy, Data Protection & Recovery, Destruction and DMS throughout Australia, with Hard Copy and Data Protection & Recovery services also provided in certain cities in India, Singapore, Hong Kong-SAR and China. It currently provides services to commercial, legal, banking, healthcare, accounting, insurance, entertainment and government organizations, including more than 95% of the Fortune 1000. The Company competes with its current and potential customers' internal information protection and storage services capabilities. It also competes with multiple information protection and storage service providers in all geographic areas where it operates. Competition for customers is based on price, reputation for reliability, quality of service and scope and scale of technology. Under various federal, state and local environmental laws, the Company might be potentially liable for environmental compliance and remediation costs to address contamination, if any, located at owned and leased properties as well as damages arising from such contamination.
