Business Description

JMP Group Inc. is a Delaware Corporation. It is a full-service investment banking, asset management and corporate credit management firm. It provides investment banking, sales and trading, and equity research services to corporate and institutional clients, and alternative asset management products and services to institutional investors and high net-worth individuals and management of collateralized loan obligations. It focuses its efforts on small and middle-market companies in the following six growth industries: business services, consumer, financial services, healthcare, real estate, and technology. The Company provides its corporate clients with a wide variety of services, including strategic advice and capital raising solutions, sales and trading support, and equity research coverage. It provides institutional investors with capital markets intelligence and objective, informed investment recommendations about individual equities that are not widely followed. It conducts its primary business activities through three wholly-owned or majority-owned subsidiaries: JMP Securities LLC (JMP Securities), its broker-dealer operation; Harvest Capital Strategies LLC (HCS), its asset management arm - an SEC-registered investment adviser; and JMP Credit Corporation (JMP Credit), its corporate credit operation. JMP Securities provides equity research, sales and trading to institutional brokerage clients and capital raising and strategic advisory services to corporate clients. HCS actively manages a family of six hedge funds, two funds of hedge funds and one externally advised REIT. The Company's investment banking professionals provide capital raising, mergers and acquisitions transaction and other strategic advisory services to corporate clients. It works with corporate clients on a broad range of key strategic matters, including mergers and acquisitions, divestitures and corporate restructurings, valuations of businesses and assets, and fairness opinions and special committee assignments. The Company's equity research focuses on its six target industries - business services, consumer, financial services, healthcare, real estate and technology. Through HCS, it actively manages a family of approximately six hedge funds, two funds of hedge funds and one externally advised REIT. JMP Credit serves as the investment manager to a collateralized loan obligation (CLO) vehicle. As a participant in the financial services industry, it is subject to complex and extensive regulation of most aspects of its business by U.S. federal and state regulatory agencies, self-regulatory organizations and securities exchanges.
